Conditions Precedent to Closing by Click. The obligation of Click and the Click Selling Shareholders to consummate the Share Exchange is subject to the satisfaction or written waiver of the conditions set forth below. The Closing of the Share Exchange will be deemed to mean a waiver of all conditions to Closing. These conditions precedent are for the benefit of Click and the Click Selling Shareholders and may be waived by Click and the Click Selling Shareholders in their discretion.
