Common use of Conditions Precedent to each Utilization Clause in Contracts

Conditions Precedent to each Utilization. The obligation of the Lenders to provide any Accommodation to the Borrower, or to allow any Conversion or Rollover, is subject to and conditional upon satisfaction of the following conditions precedent, as applicable: (a) on each Drawdown Date, Conversion Date or Rollover Date, as applicable, there exists no Default or Event of Default; and (b) on each Drawdown Date, the representations and warranties referred to in Section 2.1, other than those stated to be made as at a specific date, are true and correct in all material respects (or in all respects for those representations and warranties already subject to a materiality threshold) with the same effect as if made as of such date.
