Conditions Precedent to Effectiveness of this Amendment. This Amendment shall be effective as of the date first set forth above when the Administrative Agent shall have received, in form and substance satisfactory to it: (a) This Amendment, duly executed by the Borrowers, the Administrative Agent and the Required Lenders; and (b) Such other documents, instruments, and information executed and/or delivered by the Borrowers as the Administrative Agent may reasonably request.

This Amendment shall be become effective as of on the date first set forth above when (the "Amendment No. 2 Effective Date") upon which Administrative Agent shall have received, has received the following in form and substance satisfactory to itthe Administrative Agent and its counsel: (a) This Amendment, eight (8) counterparts of this Amendment duly executed and delivered by the Borrowerseach Loan Party, the Administrative Agent and the Required Lenders; and (b) Such other documents, instruments, and information executed and/or delivered by the Borrowers as the Administrative Agent may reasonably request.
