Conditions Precedent to Executive Help's Obligations to Close. Executive Help's obligation to consummate the Merger is subject to the satisfaction, on or before the closing, of the following conditions: (a) Performance of Acts and Undertakings of AdZone. Each of the acts and undertakings of AdZone to be performed on or before the Closing Date pursuant to the terms of this Agreement shall have been duly performed.
