CONDITIONS PRECEDENT TO INITIAL DELIVERY DATE, DELAY DAMAGES. The conditions precedent, which are set forth in Sections 11.1, 11.2, and 11.3 below (the “Conditions Precedent”), must be satisfied or waived in writing by both Parties before the Initial Delivery Date. If those Conditions Precedent are not satisfied or waived within twenty-four (24) months of Buyer’s Approval Application filing date, this Agreement shall, at the sole discretion of Buyer, be null and void.
