Conditions Precedent to Initial Incremental Purchase. The initial Incremental Purchase of a Purchaser Interest under this Agreement is subject to the conditions precedent that the Administrative Agent and the Agents shall have received on or before the date of such purchase those documents listed on Schedule B that are required to be delivered on or before such date. The documents listed on part V of Schedule B are required to be delivered on or before the effective date of this Agreement. The Administrative Agent and each Agent shall have received all fees and expenses required to be paid pursuant to the terms of this Agreement (including, without limitation, Section 10.3 hereof), the Fee Letter and any other fee, charge, or expense required to be paid prior to the effectiveness of this agreement.
