Conditions Precedent to Initial Incremental Purchase. The initial Incremental Purchase of a Purchaser Interest under this Agreement is subject to the conditions precedent that (a) the Agent shall have received on or before the date of such ▇▇▇▇▇▇▇▇▇ RECEIVABLES PURCHASE AGREEMENT purchase those documents listed on Schedule B, (b) the Agent shall have received all fees and expenses required to be paid on or prior to such date pursuant to the terms of this Agreement and the Fee Letter, (c) Seller shall have marked its books and records with a legend satisfactory to the Agent identifying the Agent's interest therein, (d) the Agent shall have completed to its satisfaction a due diligence review of each Originator's and Seller's billing, collection and reporting systems and other items related to the Receivables and (e) each of the Purchasers shall have received the approval of its credit committee of the transactions contemplated hereby.
