Conditions Precedent to Initial Incremental Purchase. The initial Incremental Purchase of a Purchaser Interest under this Agreement is subject to the conditions precedent that (a) the Agent shall have received on or before the date of such ▇▇▇▇▇▇▇▇▇ RECEIVABLES PURCHASE AGREEMENT purchase those documents listed on Schedule B, (b) the Agent shall have received all fees and expenses required to be paid on or prior to such date pursuant to the terms of this Agreement and the Fee Letter, (c) Seller shall have marked its books and records with a legend satisfactory to the Agent identifying the Agent's interest therein, (d) the Agent shall have completed to its satisfaction a due diligence review of each Originator's and Seller's billing, collection and reporting systems and other items related to the Receivables and (e) each of the Purchasers shall have received the approval of its credit committee of the transactions contemplated hereby.

The initial Incremental Purchase of a Purchaser Interest under under, and the effectiveness of, this Agreement is subject to the conditions precedent that (a) the Agent, Scotia and their respective auditors shall have completed a due diligence review satisfactory to the Agent and Scotia of the Originator's operating locations, (b) the Purchasers shall have obtained approval of the transactions contemplated hereby by their respective credit committees, (c) the Agent and Scotia shall have received on or before the date of such ▇▇▇▇▇▇▇▇▇ RECEIVABLES PURCHASE AGREEMENT purchase those documents listed on Schedule B, (bd) the Agent and the Purchasers shall have received all fees and expenses required to be paid on or prior to such the date hereof pursuant to the terms of this Agreement and the Fee LetterLetters and (e) the Servicer, (c) Seller and Originator shall have marked its books and records with identified in their general ledger a legend satisfactory to the Agent identifying describing the Agent's interest therein, (d) the Agent shall have completed to its satisfaction a due diligence review sale of each Originator's and Seller's billing, collection and reporting systems and other items related to the Receivables to Seller and (e) each the purchase of the Purchasers shall have received the approval of its credit committee of the transactions contemplated herebyPurchaser Interests hereunder.
