Conditions Precedent to Obligations of Each Party Relating to the Second Closing. Without limiting Sections 3.2 or 9.3, the respective obligations of each of the Sellers and the Purchaser Parties to consummate the transactions subject to the Second Closing shall be subject only to the condition that the First Closing shall have occurred.
