Conditions Precedent to Obligations of Federated. In addition to the conditions set forth in Section 7.1, the obligations of Federated under this Agreement and the other Transaction Documents to consummate the Transactions are subject to the satisfaction, at or prior to the Closing, of all of the following conditions, any one or more of which may be waived in writing at the option of Federated.
