CONDITIONS PRECEDENT TO THE BUYER'S PERFORMANCE. The obligation of the Buyer to purchase the Membership Interests and Purchased Assets and to assume the Assumed Liabilities under this Agreement is subject to the satisfaction or waiver, at or prior to Closing, of the following conditions set forth in this Article VII:
