Common use of Conditions Precedent to the Confirmation Date Clause in Contracts

Conditions Precedent to the Confirmation Date. It shall be a condition to Confirmation of the Plan that the following conditions shall have been satisfied (or waived pursuant to the provisions of Article IX.C of the Plan): • The Court shall have approved in all material respects the compromise and settlement of all the Settled Issues, which approval shall be expressly included in the Confirmation Order; • The Restructuring Support Agreement shall not have been breached in any material respect and shall remain in full force and effect; • The Plan, including any exhibits, schedules, amendments, modifications, or supplements thereto, shall have been Filed subject to the terms of the Plan; • The Plan Supplement, including any exhibits, schedules, amendments, modifications, or supplements thereto, shall have been Filed subject to the terms of the Plan; and • The Confirmation Order shall have been entered by the Court.
