Conditions Precedent to the Distributions. The obligation of Wellsford Parent to cause the Contribution of the Contributed Assets pursuant to Article II and to cause the consummation of the Distributions pursuant to Article III shall be subject, at the option of Wellsford Parent, to the fulfillment or waiver, of each of the following conditions:
