Conditions Precedent to the Initial Credit Extension. This Agreement shall become effective as of such date (the “Initial Funding Date”) when (i) the Administrative Agent shall have received each of the documents, agreements (in fully executed form), opinions of counsel, lien search results, UCC filings, certificates and other deliverables listed as “Pre-Funding Deliverables” on the closing memorandum attached as Exhibit G hereto, in each case, in form and substance acceptable to the Administrative Agent and (ii) each of the conditions set forth in Section 5.02 hereof are satisfied; provided, that the conditions to the Initial Funding Date must occur prior to April 1, 2023 (or such later date approved in writing by the Administrative Agent) for satisfaction of this Section 5.01(b).
