Conditions to Assumptions of Options. The assumption and conversion of the Rollover Options contemplated by Section 1 hereof shall be subject to the satisfaction of the following conditions unless waived in writing by Parent (in the case of clause (a) and (b)) or by the Optionee or the Company (in the case of clause (c)):
