Conditions to Each Closing. Subject to the terms hereof, the obligation of the Investor to purchase the Purchased Common Shares and/or the Purchased Preferred Shares at each applicable Closing is subject to the fulfillment, to the satisfaction of the Investor on or prior to each Closing, of the following conditions, the waiver of which shall not be effective against the Investor who does not consent thereto:
