Common use of Conditions to Effectiveness of Amendment Clause in Contracts

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendment.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of on the date when, and only when, each of on which the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Amendment Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) The Administrative Agent shall have received a true counterpart of this Amendment, executed and complete copy delivered by a duly authorized officer of each of (i) the fully executed Revolver Loan Agreement AmendmentBorrower and MVWC and (ii) the Required Lenders.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”Sole Lender, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Term Loan Agreement Amendment.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of on the date when, and only when, each of (the “Amendment No. 1 Effective Date”) that the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”):satisfied: (a) the Administrative Agent shall have received counterparts to a counterpart of this Amendment, executed and delivered by a duly executed by Agent, Lenders constituting “Required Lenders”, and Obligorsauthorized officer of each Loan Party; and (b) the Administrative Agent shall have received a true counterparts of this Amendment, executed and complete copy of delivered by Consenting Lenders constituting the fully executed Revolver Loan Agreement AmendmentRequired Lenders.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement AmendmentParties.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each hereof on the date on which the Agent receives counterparts of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed and delivered by Agent, the Borrower and the Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendmentin sufficient copies for each Lender.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of on the date when, and only when, each of (the “Amendment No. 2 Effective Date”) that the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”):satisfied: (a) Agent shall have received counterparts to a counterpart of this Amendment, executed and delivered by a duly executed by Agent, Lenders constituting “Required Lenders”, and Obligorsauthorized officer of each Loan Party; and (b) Agent shall have received a true counterparts of this Amendment, executed and complete copy of delivered by Consenting Lenders constituting the fully executed Revolver Loan Agreement AmendmentRequired Lenders.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true duly executed amendment to the First Lien Loan Agreement, in form and complete copy of substance satisfactory to Agent, which amendment shall become effective contemporaneous with this Amendment on the fully executed Revolver Loan Agreement AmendmentEffective Date.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date whenfirst written above, or such other date as expressly set forth herein and subject to any other conditions as expressly set forth herein, but only if this Amendment has been executed by the Company, Administrative Agent and the Required Lenders, and only whenif all of the documents listed on Exhibit A to this Amendment have been delivered and, as applicable, executed, sealed, attested, acknowledged, certified, or authenticated, each of in form and substance satisfactory to Administrative Agent and the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendment.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each upon satisfaction of the following conditions precedent (which shall have been satisfied or waived in writing be evidenced by Agent (the signatures of all parties hereto; such date being defined as shall be deemed to be the “"Effective Date”"): (a) The Agent shall have received, on behalf of each Bank, this Amendment, executed by the Borrower, the Agent, the Banks and each Guarantor; (b) The Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) such other documents or instruments as the Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendmentmay reasonably request.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and; (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendment; and (c) Borrowers shall have paid Agent, for the ratable benefit of itself and the Lenders, the Amendment Fee.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”):Agent: (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Term Loan Agreement Amendment.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”): (a) Agent shall have received counterparts to this Amendment, duly executed by Agent, Lenders constituting “Required Lenders”, and Obligors; and (b) Agent shall have received a true and complete copy of the fully executed Revolver Loan Agreement Amendment.

Conditions to Effectiveness of Amendment. This Amendment shall become effective as of the date when, and only when, each of the following conditions precedent shall have been satisfied or waived in writing by Agent (such date being defined as the “Effective Date”):) on which the following conditions are satisfied: (a) The Administrative Agent shall have received counterparts to of this Amendment, Amendment duly executed and delivered by Agentthe Borrower, Lenders constituting “Required Lenders”each Subsidiary Guarantor, the Issuing Bank and Obligors; andeach Lender. (b) The Administrative Agent and the Issuing Bank shall have received a true reimbursement for all of their reasonable out-of-pocket costs and complete copy of the fully executed Revolver Loan Agreement Amendment.expenses in accordance with Section 3.4
