CONDITIONS TO OBLIGATION OF POCKETSPEC. The obligation of PocketSpec to complete the Exchange on the Closing Date on the terms set forth in this Agreement is, at the option of PocketSpec, subject to the satisfaction or written waiver by PocketSpec of each of the following conditions:
