Common use of Conditions to Obligation of the Buyer Clause in Contracts

Conditions to Obligation of the Buyer. The obligation of the Buyer to consummate the transactions contemplated by this Agreement is subject to satisfaction of the following conditions: (a) each Shareholder's representations and warranties shall be correct and complete at and as of the Closing Date and the Closing and any written notices delivered to the Buyer (the form of which shall be reasonably satisfactory to the Buyer) pursuant to Section 4.5 and the subject matter thereof shall be satisfactory to the Buyer; (b) the Shareholders shall have performed and complied with all of their covenants hereunder through the Closing;
