Conditions to Obligation of the Transferor. The obligation of the Transferor to transfer the Mortgage Loans to the Transferee is subject to the satisfaction of the condition that at the Closing Date, the Transferee shall deliver to the Transferor the consideration provided in Section 2.01 and the Transferee shall accept a capital contribution ------------ from the Transferor in an amount equal to the balance of the purchase price of the Mortgage Loans transferred by the Transferor to the Transferee, all as reflected on the books and records of the Transferor and the Transferee.
