Common use of Conditions to Obligations of Acquiror, Merger Sub and the Company Clause in Contracts

Conditions to Obligations of Acquiror, Merger Sub and the Company. The obligations of Acquiror, Merger Sub and the Company to consummate, or cause to be consummated, the transactions contemplated by Article II are subject to the satisfaction of the following conditions, any one or more of which may be waived (if legally permitted) in writing by all of such parties: (a) All applicable waiting periods (and any extensions thereof) under the HSR Act shall have expired or been terminated. (b) There shall not be in force any Law or Governmental Order enjoining or prohibiting the consummation of the Merger.

The obligations of Acquiror, Merger Sub and the Company to consummate, or cause to be consummated, the transactions contemplated by Article II Merger are subject to the satisfaction of the following conditions, any one or more of which may be waived (if legally permitted) in writing by all of such parties: (a) All applicable waiting periods (and any extensions thereof) under the HSR Act applicable to the Merger shall have expired or been terminated. (b) There shall not be in force any Law Governmental Order, statute, rule or Governmental Order regulation enjoining or prohibiting the consummation of the Merger.
