Conditions to Receipt of Severance No Duty to Mitigate. (a) Separation Agreement and Release of Claims. The receipt of any severance pursuant to Section 7(a) or (b) will be subject to Executive signing and not revoking a separation agreement and release of claims substantially in the form attached hereto as Exhibit A (the “Release”).

The receipt of any severance pursuant to Section 7(a) 7 or (b) acceleration of equity awards pursuant to Section 8 will be subject to Executive signing and not revoking a separation agreement and release of claims substantially in the form attached hereto as Exhibit Annex A (hereto, which separation agreement and release of claims must be delivered to Executive no later than the “Release”)Termination Date. No severance will be paid or provided until the separation agreement and release of claims is signed and delivered by Executive to the Company.
