Common use of Conditions to Subscriber's Obligations Clause in Contracts

Conditions to Subscriber's Obligations. 3.1. The obligations of the Subscriber to close the transactions contemplated by this Agreement (the "Transaction") is subject to the satisfaction on or prior to the date of the Closing (as hereinafter defined) of the following conditions set forth in Sections 3.2 through 3.3 hereof. 3.2. The representations and warranties made by Issuer herein shall be true in all material respects on and as of the Closing Date with the same effect as if they had been made on and as of the Closing Date. 3.3. All proceedings to be taken in connection with the Transaction are to be consummated at or prior to the Closing, and all documents incident thereto shall be reasonably satisfactory in form and substance to the Subscriber and its counsel, and the Subscriber and its counsel shall have received copies of all documents and information which it may have reasonably requested in connection with the Transaction and of all corporate proceedings in connection therewith, in form and substance reasonably satisfactory to Subscriber and its counsel.
