Conditions to Substantial Completion of a Property. Substantial Completion with respect to a Property shall be deemed to have occurred for purposes of the Operative Documents at such time as the Construction shall have been substantially completed in accordance with the Plans and Specifications and all Applicable Law and the Lessee shall have delivered to the Lessor a 3.1 zoning endorsement reasonably satisfactory to the Lessor, and such Property shall be ready for occupancy and operation, as evidenced by certificates of the Architect and the Construction Agent, the Prime Contractor's application for the payment to be made upon substantial completion and the issuance by the appropriate Governmental Authority of certificates of occupancy for all of the Improvements contemplated by the Plans and Specifications, all in form and substance reasonably satisfactory to the Lessor.
