This Agreement and the rights and obligations of the parties hereunder shall be subject to the following conditions: (a) The Dealer Manager Agreement shall have been executed and be in force and effect. (b) The Registration Statement shall have become effective and no stop order suspending the effectiveness of the Registration Statement shall have been issued by the Commission. (c) FINRA shall have confirmed that it has not raised any objection with respect to the fairness and reasonableness of the terms and arrangements of the distribution of Units pursuant to the Offering.
