Conditions to the Effectiveness of this First Amendment. 3.1. This First Amendment shall become effective upon the satisfaction of the following conditions: (a) execution and delivery of this First Amendment by the Company and the Required Holders; (b) the Noteholders shall have received an opinion of Milbank LLP, dated the date hereof, in scope, form and substance satisfactory to the Noteholders or their special counsel; (c) the representations and warranties of the Company set forth in Section 2 hereof are true and correct on and with respect to the date hereof and each Noteholder shall have received an Officer’s Certificate to such effect; and (d) the Company shall have paid the fees, charges and disbursements of ▇▇▇▇▇▇ ▇▇▇▇▇▇ LLP, special counsel to the Noteholders, in connection with the review, negotiation, execution and delivery of this First Amendment to the extent that the Company shall have received an invoice therefor at least one Business Day prior to the date of this First Amendment.
