Conditions to the Obligation of the Shareholders to Close. The obligation of the Shareholders to consummate the transactions contemplated under this Agreement is subject to the satisfaction or written waiver of the conditions set forth below by a date mutually agreed upon by the parties hereto in writing and in accordance with Section 8. The Closing will be deemed to mean a waiver of all conditions to Closing. These conditions precedent are for the benefit of the Shareholder and may be waived by the Shareholder in its sole discretion.

  • Conditions Precedent to the Obligation of the Company to Sell the Shares The obligation hereunder of the Company to issue and sell the Shares is subject to the satisfaction or waiver, at or before the Closing, of each of the conditions set forth below.
