CONDITIONS TO THE OBLIGATIONS OF THE LENDER. The obligation of the Lender to make the Loan shall be subject to the satisfaction of the following condition which the Borrower hereby covenants to perform on or prior to the Closing: (a) The execution and delivery to the Lender of the Agreement and the Note; and

CONDITIONS TO THE OBLIGATIONS OF THE LENDER. The obligation of the Lender to make advance the Loan Amount shall be subject to the satisfaction of the following condition conditions which the Borrower and the Co-Makers hereby covenants covenant to perform on or prior to the Closing: (a) A. The execution of the Note by the Borrower and the delivery thereof to the Lender; and B. The execution of this Agreement by the Borrower and the Co-Makers and the delivery thereof to the Lender; and C. The delivery to the Lender Escrowee of the Agreement Collateral Shares and the Note; anda duly executed Escrow Agreement.
