Common use of Conditions to the Obligations of the Vendor Clause in Contracts

Conditions to the Obligations of the Vendor. Notwithstanding anything herein contained, the obligations of the Vendor to complete the transactions provided for herein will be subject to the fulfillment of the following conditions at or prior to the Transfer Date, and the Purchaser covenants to use its best efforts to ensure that such conditions are fulfilled.
