CONDITIONS TO THE TRANSFER. 8.1 Conditions to the Obligations of Each Party. The obligations of Seller and Acquiror to consummate the Transfer of the Assets are subject to the satisfaction of the following conditions; (a) no judgment, injunction, order or decree shall prohibit the consummation of the Transfer of the Assets or the transactions contemplated under this Agreement; and (b) the Bankruptcy Court Order approving this Agreement and the sale of the Assets to Acquiror hereunder shall have been obtained.
