Common use of Conduct Business in the Ordinary Course Clause in Contracts

Conduct Business in the Ordinary Course. ▇▇▇▇▇▇▇▇ shall cause the Subsidiaries to conduct, and the Subsidiaries shall conduct, the Business and the operations and affairs of the Subsidiaries only in the ordinary and normal course of business consistent with past practice, and the Subsidiaries shall not, without the prior written consent of Crown USA, enter into any transaction or refrain from doing any action that, if effected before the date of this Agreement, would constitute a breach of any representation, warranty, covenant or other obligation of ▇▇▇▇▇▇▇▇ or the Subsidiaries contained herein, and provided further that ▇▇▇▇▇▇▇▇ and the Subsidiaries shall not enter into any material supply arrangements relating to any of the Subsidiaries or make any material decisions or enter into any material Contracts with respect to any of the Subsidiaries without the consent of Crown USA, which consent shall not be unreasonably withheld or delayed;
