Conduct Business in the Ordinary Course. The Vendor shall conduct the Business in its ordinary and normal course and the Vendor shall not, without the prior written consent of the Purchaser (such consent not to be unreasonably withheld), enter into any transaction or take any action that, if effected after September 30, 1999 and before the date of this Agreement, would constitute a breach of any representation, warranty, covenant or other obligation of the Vendor contained herein. In particular the Vendor shall refrain from entering into any contract or commitment which would, if entered into prior to the date hereof, constitute a Material Contract or Lease, save with the consent of the Purchaser (such consent not to be unreasonably withheld);
