Conduct of Business in Compliance with Regulatory and Contractual Requirements. NBC and its Subsidiaries have complied with all applicable laws, ordinances, regulations or orders or other requirements of any Governmental Authority applicable to the NBC Multimedia Businesses, including, without limitation, all rules, regulations and administrative orders relating to anti-competitive practices, discrimination, employment, health and safety, except where the failure to be in such compliance would not have, either individually or in the aggregate, a Material Adverse Effect.
