CONDUCT OF BUSINESS PENDING THE DISTRIBUTION DATE. Each of the parties hereto agrees that from the date hereof until the Distribution Date, except as otherwise contemplated by this Agreement, it will use its best efforts to carry on the SLH Business diligently in the ordinary course and substantially in the same manner as heretofore conducted and to preserve intact the business organization and goodwill of the SLH Business (including using its best efforts to cause its Subsidiaries to take such actions).
