Conduct of Discovery Phase Sample Clauses

Conduct of Discovery Phase. DYAX agrees to devote commercially reasonable resources and efforts to the diligent conduct of the work described in the Discovery Phase section of the Work Plan Outline included in Exhibit 1 attached hereto. The Discovery Phase shall commence on the Effective Date and is expected to continue for a period of *************. The Discovery Phase shall end when DYAX has delivered to CUSTOMER the Discovery Phase Deliverables described in the Work Plan Outline. During the Discovery Phase, DYAX's Project Director shall meet with representatives of CUSTOMER at the reasonable request of CUSTOMER to respond to questions and facilitate the exchange of appropriate information on the progress of the Discovery Phase. In addition, Dyax shall submit a quarterly summary progress report to CUSTOMER and a final written report as set forth in the Work Plan Outline.   • DEVELOPMENT OR ASSISTANCE IN DEVELOPMENT OF SPECIFICATIONS REQUIREMENTS/ STATEMENTS OF WORK

  • Development Reports Beginning six months after Effective Date and ending on the date of first commercial sale of a Licensed Product in the United States, LICENSEE shall report to Cornell progress covering LICENSEE's (and Affiliate's and Sublicensee's) activities and efforts in the development of rights granted to LICENSEE under this Agreement for the preceding six months. The report shall include, but not be limited to, activities and efforts to develop and test all Licensed Products and obtain governmental approvals necessary for marketing the same. Such semi-annual reports shall be due within sixty days (60) of the reporting period and shall use the form as provided herein as Appendix C.

  • Research Plan The Parties recognize that the Research Plan describes the collaborative research and development activities they will undertake and that interim research goals set forth in the Research Plan are good faith guidelines. Should events occur that require modification of these goals, then by mutual agreement the Parties can modify them through an amendment, according to Paragraph 13.6.

  • Development Phase contractual phase initiated with the approval of ANP for the Development Plan and which is extended during the Production Phase while investments in ▇▇▇▇▇, equipment, and facilities for the Production of Oil and Gas according to the Best Practices of the Oil Industry are required.

  • Development Schedule The Project shall substantially comply with the specific timetables and triggers for action set forth in Article 5 of this Agreement. The parties acknowledge that, as provided in G.S. 160A-400.25(b), the failure to meet a commencement or completion date shall not, in and of itself, constitute a material breach of this Agreement pursuant to G.S. 160A-400.27 but must be judged based upon the totality of the circumstances.
