Common use of Conduct Prior to the Closing Clause in Contracts

Conduct Prior to the Closing. Donor and ▇▇▇▇▇ shall have the following rights and obligations during the Contract Period: A. Donor and ▇▇▇▇▇ shall make commercially reasonable efforts to take, or cause to be taken, all action and to do, or cause to be done, all things necessary, proper, or advisable to consummate the transaction contemplated hereby as soon as practicable; B. Donor and ▇▇▇▇▇ shall promptly give the other party written notice of the existence or occurrence of any condition that would make any representation or warranty herein contained of either party untrue or which might reasonably be expected to prevent the consummation of the transaction contemplated hereby; and C. No party shall intentionally perform any act or intentionally omit to perform any act which, if performed or omitted, would prevent or excuse the performance of this Donation Agreement by any party hereto or which would result in any representation or warranty herein contained of said party being untrue in any material respect as if originally made on and as of the Closing Date.
