Common use of CONFIDENTIALITY & ASSIGNMENT OF INVENTIONS Clause in Contracts

CONFIDENTIALITY & ASSIGNMENT OF INVENTIONS. (a) The Executive shall execute and deliver to the Company on the Effective Date the Company’s standard employee Confidential Information and Invention Assignment Agreement, substantially in the form attached hereto as EXHIBIT A, unless the Executive has already executed such agreement. (b) Upon the termination of the Executive’s employment, the Executive (or, in the event of the Executive’s death, the Executive’s personal representative) shall promptly surrender to the Company the original and all copies of any materials containing confidential information of the Company which are then in the Executive’s possession or control; provided, however, that the Executive shall not be required to surrender the Executive’s rolodexes, personal diaries and other items of a personal nature.
