Common use of Confirmation of Representations Clause in Contracts

Confirmation of Representations. Borrower shall deliver, in connection with any Securitization or Syndication, (a) one or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (or, to the extent any of such representations shall no longer be accurate in all material respects as of the date of such closing, disclosing any material inaccuracy in such representations), and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower and Principal as of the date of the closing of such Securitization or Syndication.

Confirmation of Representations. Borrower shall deliver, in connection with any Securitization or SyndicationSecuritization, (a) one or more Officer’s Certificates certifying as to the accuracy (or disclosing any inaccuracies, as applicable, provided that such disclosure shall not be deemed to be a waiver of a Default hereunder) of all representations made by Borrower or the Owner Parties in the Loan Documents as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (or, to the extent any of such representations shall no longer be accurate in all material respects as of the date of such closing, disclosing any material inaccuracy in such representations)jurisdictions, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower Borrower, the Owner Parties and Principal as of the date of the closing of such Securitization or SyndicationSecuritization.

Confirmation of Representations. Borrower shall deliver, in connection with any Securitization or SyndicationSecuritization, upon reasonable prior written request from Lender, (a) one or more Officer’s Certificates certifying as to the accuracy in all material respects of all representations made by Borrower in the Loan Documents (as such representations are modified by the Disclosure Schedule, and other certificates and instruments delivered to Lender pursuant to this Agreement) as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (or, to the extent any of such representations shall no longer be accurate in all material respects as of the date of such closing, disclosing any material inaccuracy in such representations)jurisdictions, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower and Principal as of the date of the closing of such Securitization or SyndicationSecuritization.

Borrower shall deliver, in connection with any Securitization or SyndicationSecuritization, (a) one or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (orexcept that, to the extent if any of such representations shall representation is no longer be accurate, such certificates shall identify with specificity the representation that is no longer accurate and the manner in all material respects as of the date of such closing, disclosing any material inaccuracy in such representationswhich it is not accurate), and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower and Principal as of the date of the closing of such Securitization or SyndicationSecuritization.

Borrower shall deliver, in connection with any Securitization or SyndicationSecuritization, (a) one (1) or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower and Operating Company in the Loan Documents as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (or, to the extent any of such representations shall no longer be accurate have been rendered inaccurate by any intervening changes in all material respects as of facts or circumstances, stating the date of same and identifying such closing, disclosing any material inaccuracy in such representations)facts and circumstances with specificity, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower Borrower, Operating Company, Principal and Principal Guarantor as of the date of the closing of such Securitization or SyndicationSecuritization.

Borrower shall deliver, in connection with any Securitization or SyndicationSecuritization, (a) one (1) or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower and Leasehold Pledgor in the Loan Documents as of the date of the closing of such Securitization or Syndication in all relevant jurisdictions (or, to the extent any of such representations shall no longer be accurate have been rendered inaccurate by any intervening changes in all material respects as of facts or circumstances, stating the date of same and identifying such closing, disclosing any material inaccuracy in such representations)facts and circumstances with specificity, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower Borrower, Mortgage Borrower, Leasehold Pledgor, Operating Company, Principal and Principal Guarantor as of the date of the closing of such Securitization or SyndicationSecuritization.
