Common use of Confirmatory Certificate Clause in Contracts

Confirmatory Certificate. If requested by the Agent or any Bank, the Agent shall have received (in sufficient counterparts to provide one to each Bank) a certificate dated the date of such requested Loan or Letter of Credit and signed by a duly authorized representative of the Borrower for whose benefit the Loan or the Letter of Credit has been requested as to the matters set out in Section 11.2.1 (it being understood that each request by the Borrowers for the making of a Loan or the issuance of a Letter of Credit shall be deemed to constitute a warranty by the Borrowers that the conditions precedent set forth in Section 11.2.1 will be satisfied at the time of the making of such Loan or the issuance of such Letter of Credit), together with such other documents as the Agent or any Bank may reasonably request in support thereof.

If requested by the Paying Agent or any BankLender, the Paying Agent shall have received (in sufficient counterparts to provide one to each BankLender) a certificate dated the date of such requested Loan or Letter of Credit and signed by a duly authorized representative of the Borrower for whose benefit the Loan or the Letter of Credit has been requested Company in such capacity but not individually as to the matters set out in Section 11.2.1 12.2.1 (it being understood that each request by the Borrowers Company for the making of a Loan or the issuance of a Letter of Credit shall be deemed to constitute a representation and warranty by the Borrowers Company that the conditions precedent set forth in Section 11.2.1 12.2.1 will be satisfied at the time of the making of such Loan or the issuance of such Letter of Credit), together with such other documents as the Paying Agent or any Bank Lender may reasonably request in support thereof.
