Conflict in Policies Clause Samples

The Conflict in Policies clause defines how inconsistencies or contradictions between different policies, agreements, or documents are resolved. Typically, this clause specifies which document or provision will take precedence in the event of a conflict, such as stating that the terms of a master agreement override those of any subordinate policies. By establishing a clear hierarchy among documents, this clause ensures clarity and prevents disputes over which terms should govern, thereby reducing confusion and legal risk.
Conflict in Policies. If a conflict in policies or guidelines referenced herein occurs, the Registration Statement shall govern for purposes of this Agreement.
Conflict in Policies. If a conflict in any of the Fund Policies occurs, the Registration Statement shall govern for purposes of this Agreement. Subadviser shall promptly notify Client within one (1) business day of any actual or perceived conflict that it has identified in any of the Fund Policies.
Conflict in Policies. In cases of conflict between the University’s academic and research related policies and the applicable Placement Site policies, the University’s academic and research related policies will prevail. In the case of conflict between the University’s non-academic and non-research related policies and the Placement Site’s policies that apply specifically to the activities of the student at the Placement Site, the Placement Site’s policies will prevail. In the case of conflict not resolved by the foregoing, the parties will decide on a case by case basis which policy applies.
Conflict in Policies. If a conflict in any of the policies or guidelines referenced herein occurs, the Registration Statement shall govern for purposes of this Agreement. Subadviser shall use best efforts to notify Client within one (1) business day of any actual or perceived conflict that it has identified in any of the Fund Policies; however, failure to comply with this provision does not subject the Subadviser to liability for failure to comply with the conflicting policy.
Conflict in Policies. If a conflict in policies or guidelines referenced herein occurs, the most recent version of the Registration Statement provided by Client to Subadviser shall govern for purposes of this Agreement.
Conflict in Policies. If the policies of the Placing Agency are in direct conflict with New Beginnings', such as adhering to the conflicting policies cannot be done, New Beginnings will defer to the policy of the Placing agency or suspend or discontinue services.

The Custodian, as designated by the Client will be responsible for the custody, receipt and delivery of securities and other assets of the Funds (including the Account), and the Sub-Adviser shall have no authority, responsibility or obligation with respect to the custody, receipt or delivery of securities or other assets of the Funds (including the Account). In the event that any cash or securities of the Funds are delivered to the Sub-Adviser, it will promptly deliver the same over to the Custodian, in the name of the Funds.
