Conflict with the Articles. 31.7.1 In the event of any ambiguity or discrepancy between the provisions of this Deed and the Articles, it is intended that the provisions of this Deed shall prevail and accordingly the Shareholders shall, and shall procure that each of their appointed Directors shall, exercise all voting and other rights and powers available to them so as to give effect to the provisions of this Deed and shall further if necessary procure 7.1. Nothing in this Deed shall be deemed to constitute an amendment of the Articles or any previous articles of association of the Company. 31.7.2 For the purposes of the interpretation of the Articles, the Shareholders agree that this Deed constitutes the irrevocable prior consent in writing of the Shareholders where the Articles require such consent to be given.
