Conflicts With Law. The execution, delivery and performance by New Note Purchaser of its obligations under this Agreement will not result in a breach or violation of any of the terms or provisions of, or constitute a default under, any agreement or instrument to which New Note Purchaser is a party or by which New Note Purchaser is bound or of any statute, order or regulation applicable to New Note Purchaser of any court, regulatory body, administrative agency or governmental body having jurisdiction over New Note Purchaser, in each case which could be expected to have a material adverse effect on the transactions contemplated therein.
