Common use of Conforming Property Clause in Contracts

Conforming Property. Notwithstanding anything herein to the contrary, if the Partnership excercises its rights under Section 10.3(c) above with respect to any Non-Conforming Property other than due to a title defect (pursuant to Section 3.3) or a misrepresentation or breach of any environmental representation, warranty or covenant (as set forth in Section 7.13), then the Sellers shall have the option of declaring this Agreement null and void with respect to all Properties.

Notwithstanding anything herein to the contrary, if the Partnership excercises exercises its rights under Section 10.3(c13.3(c) above with respect to any Non-Conforming Property other than due to a title defect (pursuant to Section 3.35.3) or a misrepresentation or breach of any environmental representation, warranty or covenant (as set forth in Section 7.139.15), then the Sellers Contributors shall have the option of declaring this Agreement null and void with respect to all Properties.
