Consent Decree. (a) The El Dorado Refinery is subject to a Clean Air Act consent decree (the “El Dorado Consent Decree”) entered by the U.S. District Court in Kansas. The Parties agree that following the Closing, El Dorado Logistics will assume responsibility for complying with the terms and conditions of the El Dorado Consent Decree that apply to the El Dorado Assets. The Parties also agree to execute and submit to the U.S. District Court in Kansas, a modification of the El Dorado Consent Decree that makes binding upon El Dorado Logistics all of the terms and conditions of the El Dorado Consent Decree that are applicable to the El Dorado Assets and that releases Frontier El Dorado from the post-transfer obligations and liabilities of the El Dorado Consent Decree applicable to the El Dorado Assets.
(b) The Cheyenne Refinery is subject to a Clean Air Act consent decree (the “Cheyenne Consent Decree”) entered by the U.S. District Court in Wyoming. The Parties agree that following the Closing, Cheyenne Logistics will assume responsibility for complying with the terms and conditions of the Cheyenne Consent Decree that apply to the Cheyenne Assets. The Parties also agree to execute and submit to the U.S. District Court in Wyoming, a modification of the Cheyenne Consent Decree that makes binding upon Cheyenne Logistics all of the terms and conditions of the Cheyenne Consent Decree that are applicable to the Cheyenne Assets and that releases Frontier Cheyenne from the post-transfer obligations and liabilities of the Cheyenne Consent Decree applicable to the Cheyenne Assets.

Consent Decree. Administrative Borrower shall provide to Administrative Agent written status updates with respect to the Consent Decree and Consent Decree Event and any other pending governmental and/or regulatory investigations and proceedings involving any Loan Party that requires a filing with the SEC under Section 13 or Section 15(d) of the Exchange Act promptly following request therefor by Administrative Agent.

Buyer agrees that Seller may, subject to Section 10.4, assign title to the Shares to a Permitted Shares Transferee in accordance with the terms of the Consent Decree. Buyer acknowledges that it has been provided with a copy of the Consent Decree and agrees to be bound by the provisions of Section X thereof as if Buyer were a "defendant" therein. Buyer agrees that, notwithstanding anything else in this Agreement to the contrary, to the extent Seller, the Companies or their Subsidiaries are required to take or forbear from taking, any action in connection with the requirements of the Consent Decree or to avoid acting in violation of the Consent Decree, and such action or forbearance would otherwise violate this Agreement, such action or forbearance shall not be deemed to constitute a violation of this Agreement for any purpose other than Article VII.
Consent Decree. During the Lease Term, the Lessee shall not petition any court to be released from the Consent Decree with respect to the Undivided Interest unless such petition requests that the Lessor shall also be released.
