Consents and Approvals of Third Parties. FNFG shall use all commercially reasonable efforts to obtain as soon as practicable all consents and approvals, necessary or desirable for the consummation of the transactions contemplated by this Agreement.

Consents and Approvals of Third Parties. FNFG shall use all commercially reasonable efforts to obtain as soon as practicable all consents and approvals, including the approval of the shareholders of FNFG, necessary or desirable for the consummation of the transactions contemplated by this Agreement. Without limiting the generality of the foregoing, FNFG shall utilize the services of a professional proxy soliciting firm to provide assistance in obtaining the shareholder vote required to be obtained by it hereunder.
