Consents of Governmental Entities. Except as set forth on Schedule 4.4, no Consent, or declaration, filing or registration by the Companies with any Governmental Entity is required in connection with the execution and delivery by ATG and the Seller of this Agreement and the consummation of the transactions contemplated hereby.
