Common use of Consents of Governmental Entities Clause in Contracts

Consents of Governmental Entities. Except as set forth on Schedule 4.4 and except as required pursuant to the HSR Act, no Consent, or declaration, notice, filing or registration by any entity within the Group with any Governmental Entity is required in connection with the execution and delivery by any of the Sellers of this Agreement and the Transaction Documents and the consummation of the transactions contemplated hereby.
