Common use of Consents to Transaction Clause in Contracts

Consents to Transaction. Except as set forth on Schedule 3.4, no consent, waiver, approval, authorization, Order or Permit of, or declaration or filing with, or notification to, any Person (as defined in Section 10.6 hereof) is required by Seller (a) in connection with the execution and delivery by Seller of this Agreement or the consummation of the transactions contemplated hereby, or (b) to preserve the continuing validity and effectiveness immediately following the Closing of any Permit or Assumed Contract held by Seller with respect to the Branch Offices, assuming Purchaser has received all Permits from Governmental Authorities needed to acquire the Branch Offices and perform its obligations under this Agreement.
