CONSIDERATION AND AGREEMENT. In consideration of the covenants and conditions contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Buyer agrees to purchase all of Seller's right, title and interest in and to the Properties from Seller, and Seller agrees to sell all of Seller's right, title and interest in and to the Properties to Buyer on the terms set forth below.
