Constituent Authorization Sample Clauses

The Constituent Authorization clause establishes that the individuals or entities entering into the agreement have the legal authority to do so on behalf of their respective organizations or groups. In practice, this clause requires each party to confirm that their representatives are duly empowered, such as through board resolutions or corporate bylaws, to bind the organization to the contract. Its core function is to prevent disputes over the validity of the agreement by ensuring that all signatories are properly authorized, thereby reducing the risk of unenforceable contracts due to lack of authority.
