Construction of First Offer Space. The First Offer Space shall be improved by Tenant with Initial tenant improvements substantially in accordance with the Tenant Work Lever attached hereto as Exhibit B and Landlord shall provide Tenant with an improvement allowance in an amount up to; but not exceeding, [***] per usable square foot of the First Offer Space multiplied by the fraction, the numerator of which is the number of months of the initial term of Tenant's lease of the First Offer Space, and the denominator of which is sixty (60), which improvement allowance shall be disbursed by Landlord pursuant to, and subject to, all of the terms and conditions of the Tenant Work Letter attached hereto.
